Terms and Conditions

These Terms and Conditions govern access to and use of TeachEdge.

Please read them carefully before creating an account, purchasing a subscription or using the service.

1. About TeachEdge

TeachEdge is operated by:

2. Definitions

In these Terms:

“TeachEdge”, “we”, “us” or “our” means Teach Edge Software Ltd.
“Service” means the TeachEdge website, application and associated services, tools and features.
“User” or “you” means a person or organisation accessing or using the Service.
“School” includes a school, college, department or other educational organisation using the Service.
“Submitted Content” means questions, answers, files, images, PDFs, prompts, instructions, resources and other material uploaded, entered or submitted through the Service.
“Output” means marks, feedback, questions, scaffolding, tutoring responses, transcriptions, summaries and other material generated through the Service.
“Credits” means units used to measure access to or use of specified TeachEdge features.

3. Accepting these Terms

By creating an account, purchasing a subscription or using the Service, you agree to these Terms.

If you use TeachEdge on behalf of a school or another organisation, you confirm that you are authorised to accept these Terms on its behalf.

A school purchase order, subscription agreement, proposal or Data Processing Agreement may contain additional terms. If there is a conflict, the specifically agreed written terms will take priority for the matter they cover.

If you do not agree to these Terms, you must not use the Service.

4. Users under 18

A person under 18 may create and use an independent TeachEdge account and may purchase an independent subscription.

If you are under 13, you must have permission from a parent or guardian before creating or using an independent account.

Where an account is provided or managed by a school, its use is also subject to the school’s rules and arrangements.

If a parent, guardian or other adult creates or purchases an account for a child, that adult agrees to these Terms in relation to the account and is responsible for the purchase.

Nothing in these Terms affects any legal rights that a child, parent or consumer cannot lawfully give up.

5. Accounts and security

You agree to:

provide information that is reasonably accurate and current;
keep your password and other login details secure;
not share a personal account with another person;
tell us promptly if you believe an account has been accessed without permission; and
use appropriate care when accessing TeachEdge on a shared device.

Schools are responsible for deciding which teachers and students should have access to school-managed accounts and for keeping their account and class information reasonably up to date.

TeachEdge may temporarily restrict or suspend access where we reasonably believe an account has been compromised or presents a security risk.

Users may be able to sign in with Google or Microsoft where that option is available. Use of those sign-in services is also subject to the relevant provider’s terms.

6. The TeachEdge Service

TeachEdge provides educational tools that may include:

Quick Mark for individual responses;
Class Marking for assignments and student submissions;
Exam Script Marking for batches of scanned work;
question generation;
writing scaffolding;
personalised tutoring;
transcription;
progress information and reporting; and
other teaching and assessment-support tools.

The particular features available may depend on the account, subscription, subject, qualification or plan.

We may improve, replace or change features as the Service develops. We do not guarantee that every feature, subject, qualification, exam board or question type will remain available permanently.

7. AI-generated marks and feedback

TeachEdge uses artificial intelligence to help generate marks, feedback and other educational material.

AI can make mistakes. Outputs may be incomplete, inaccurate or unsuitable for a particular student or purpose. Users must exercise appropriate professional and personal judgement when using them.

TeachEdge Outputs are intended to support:

practice;
formative assessment;
teacher-supported internal assessment;
feedback;
planning; and
learning.

They are not official exam-board decisions and must not be treated as final formal grades in high-stakes assessments.

For Class Marking, manual teacher review is the default before feedback is released to students. A teacher may choose to enable automatic release.

Schools and teachers remain responsible for deciding:

whether an Output is appropriate;
whether a mark or piece of feedback should be accepted or changed;
how Outputs are communicated to students; and
whether TeachEdge is suitable for a particular assessment.

TeachEdge is independent of, and is not endorsed, approved or licensed by, any examination board.

8. Subscriptions, fees and Credits

Current prices, plan features, included Credits and applicable taxes will be displayed when a purchase is made or set out in a written school proposal or agreement.

Unless stated otherwise:

subscription fees must be paid in advance;
recurring subscriptions continue for the stated billing period until cancelled;
cancelling prevents future renewal but does not normally produce a refund for a billing period that has already started;
Credits may be subject to expiry dates or account restrictions shown at the time of purchase;
Credits have no cash value and cannot be transferred or exchanged for money; and
unused Credits are not refundable unless required by law or expressly agreed otherwise.

Credit use varies according to the feature and the material processed. Current information about how marking Credits are calculated is available in the TeachEdge credit guide.

Trial length, trial Credits and trial eligibility will be shown when a trial is offered. We may change or withdraw trial offers and may restrict repeated trials by the same person, school or organisation.

We may change prices or plan structures. Changes affecting an existing recurring subscription will be notified before they take effect.

Nothing in this section limits any cancellation, refund or other statutory rights available to a consumer under applicable law.

9. Acceptable use

You must use TeachEdge lawfully and for legitimate educational or related purposes.

You must not:

use the Service to break the law or encourage unlawful activity;
submit material that is defamatory, threatening, abusive, obscene or malicious;
upload malware or other harmful code;
attempt to gain unauthorised access to accounts, data or systems;
bypass or interfere with security, usage or access controls;
probe, scan or test the Service for vulnerabilities without written permission;
use automated methods to place an unreasonable load on the Service;
resell, copy or exploit the Service except where we have agreed this in writing;
impersonate another person or misrepresent your authority;
use the Service to harm, harass or unfairly monitor a student or another person; or
submit material that you do not have the right to use.

You should avoid including unnecessary personal or sensitive information in Submitted Content. Schools may use pseudonyms or initials for students where appropriate.

We may investigate suspected misuse and may refuse, remove or restrict access to material where reasonably necessary to protect users, comply with the law or preserve the security and operation of the Service.

10. Examination-board and third-party material

You are responsible for ensuring that you have the necessary rights or permission to upload and use examination-board material, textbooks, articles, images, student work and other third-party content.

The fact that material is publicly accessible does not necessarily mean that it is free from copyright restrictions.

You must use exam questions, extracts, mark schemes, assessment guidance and other protected material only where you or your school are entitled to do so, including under any applicable licence or permitted legal exception.

TeachEdge does not provide legal advice about whether a particular use of third-party material is permitted.

11. Your Submitted Content

You retain any ownership rights that you or your organisation already hold in Submitted Content.

You give TeachEdge a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Submitted Content only as reasonably necessary to:

provide the Service;
generate requested Outputs;
support and troubleshoot the Service;
maintain security;
comply with the law; and
exercise the limited anonymised-use right described below.

This licence lasts for as long as the content is required for those purposes and ends when the content is deleted, except where limited retention is legally required or continues temporarily in backups or provider safety records.

You confirm that you are authorised to submit the content and allow TeachEdge to process it in accordance with these Terms.

12. Anonymised samples and service improvement

TeachEdge may create and use anonymised samples of Submitted Content internally for:

debugging;
quality control;
safety checks; and
improving the performance of the Service.

Anonymised samples must not identify an individual user or student.

TeachEdge does not use Submitted Content to train third-party generative AI models and has not opted into model training by its commercial AI providers.

A user or school may object to the use of its Submitted Content for internal anonymised quality and improvement purposes by contacting info@teachedge.ai.

13. Feedback about TeachEdge

If you voluntarily submit comments, corrections, ratings or suggested changes through the “Improve the Marking & Feedback” feature, you allow TeachEdge to use that information and the relevant marking and feedback context to evaluate and improve the Service.

This may include improving TeachEdge’s marking instructions, rubrics, quality checks and feedback format. It does not give TeachEdge permission to supply the information for training third-party general-purpose AI models.

Where improvement feedback contains personal information, it will be handled in accordance with the Privacy Notice.

14. Ownership of TeachEdge and Outputs

TeachEdge and its licensors own the Service and its underlying:

software;
design;
branding;
processes;
prompts;
guidance;
databases; and
other proprietary material.

These Terms do not transfer ownership of the Service or its underlying intellectual property to users.

TeachEdge does not claim ownership of a user’s original Submitted Content.

Subject to applicable law and third-party rights, users may use Outputs produced for them for their own educational, personal or organisational purposes.

Because Outputs are generated using artificial intelligence:

we do not guarantee that an Output is unique;
similar Outputs may be produced for other users;
we do not guarantee that every Output will qualify for copyright protection; and
users remain responsible for checking that their intended use does not infringe another person’s rights.

TeachEdge’s use of an examination-board name, qualification or specification is for identification and educational compatibility only. It does not indicate endorsement or affiliation.

15. Data protection and privacy

Our handling of personal information is explained in the TeachEdge Privacy Notice and Child-Friendly Privacy Notice.

For school-managed use, the school will normally act as the data controller and Teach Edge Software Ltd will act as its data processor.

Teach Edge Software Ltd acts as a controller for independent accounts, subscriptions, enquiries, website use, business administration and its own communications.

TeachEdge can provide schools with a Data Processing Agreement on request.

Our retention policy is to delete account and assessment information within 12 months after use ends, or earlier on request. Certain information may be retained for longer where required by law, and deleted information may remain for limited additional periods in backups and provider safety records.

16. Third-party services

TeachEdge depends on third-party services for hosting, storage, background processing, artificial intelligence, authentication, payments, communications, analytics and bookings.

Those services may be subject to their own terms and privacy information.

Although we select and manage providers with reasonable care, TeachEdge is not responsible for interruptions or failures caused solely by a third-party service outside our reasonable control.

17. Availability, maintenance and changes

We aim to keep TeachEdge available and operating reliably, but uninterrupted or error-free access cannot be guaranteed.

We may temporarily limit access for:

maintenance;
updates;
security;
capacity management;
technical faults;
provider outages; or
legal or regulatory reasons.

Where reasonably possible, we will provide advance notice of significant planned interruptions or material changes.

We may discontinue or materially alter the Service by giving reasonable notice. We will normally aim to provide at least three months’ notice of a material discontinuation affecting paid users, unless earlier action is required for legal, security or urgent technical reasons.

18. Suspension and termination

We may suspend or terminate an account where:

these Terms are materially or repeatedly breached;
payment remains overdue;
use creates a security, legal or safeguarding risk;
an account is used fraudulently or abusively;
continued provision would breach the law; or
continued operation of the account would cause material harm to the Service or another person.

Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Immediate action may be taken where necessary to protect users, security or legal compliance.

A user or school may stop using TeachEdge and request closure of its account.

Ending an account does not remove obligations or rights that arose before termination. Provisions relating to intellectual property, liability, payment, data protection, governing law and any terms that by their nature should continue will survive termination.

19. Disclaimer

TeachEdge is provided as an educational support service.

To the maximum extent permitted by law, we do not warrant that:

the Service will always be available or free from errors;
every Output will be accurate, complete or suitable;
use of the Service will produce a particular educational outcome; or
an Output will match the decision of a teacher, school, examiner or examination board.

Nothing in these Terms affects warranties, remedies or statutory rights that cannot lawfully be excluded.

20. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
a breach of rights that cannot lawfully be excluded.

Subject to those exceptions and to the maximum extent permitted by law, TeachEdge will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill or loss arising from reliance on an AI Output without appropriate review.

For business and organisational users, TeachEdge’s total aggregate liability arising from the Service or these Terms will not exceed the fees paid to TeachEdge during the one month immediately before the event giving rise to the claim.

This limitation does not reduce the mandatory legal rights of an individual consumer.

21. Responsibility for third-party claims

If you use TeachEdge on behalf of a business, school or other organisation, that organisation will be responsible for reasonable losses, liabilities and costs incurred by TeachEdge as a direct result of:

its material breach of these Terms;
its unlawful use of the Service; or
its infringement of another person’s intellectual-property rights through Submitted Content.

This section does not apply to an individual consumer acting wholly outside a business, profession or organisational role.

22. Copyright complaints

If you believe material available through TeachEdge infringes your copyright, email copyright@teachedge.ai and provide:

your name and contact details;
details of the protected work;
a description of the material you believe infringes it;
enough information to locate the material, such as a URL or screenshot;
an explanation of why you believe the use is not authorised; and
confirmation that you are the rights holder or are authorised to act for them.

We may disable or remove material while we investigate. Where appropriate, we may notify the person who submitted it and give them an opportunity to respond.

We may suspend or terminate accounts used for repeated infringement.

23. Changes to these Terms

We may update these Terms when the Service, our commercial arrangements or relevant laws change.

The updated Terms will be published on the TeachEdge website with a new “Last updated” date.

Where a change materially affects existing users, we will take reasonable steps to provide advance notice. Continued use after the change takes effect will constitute acceptance of the revised Terms.

If you do not agree to a material change, you may stop using the Service and cancel any future subscription renewal.

24. No waiver and severability

If we do not immediately enforce a provision of these Terms, that does not mean we have waived it.

If any provision is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

25. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes, except that an individual consumer may also have the right to bring proceedings in the part of the United Kingdom or other country where they live.

Nothing in these Terms removes any mandatory consumer protection available under the law that applies to an individual user.
